C&Co provides strategic business planning and corporate advice for businesses encompassing a wide range of industries, including construction, manufacturing, medical/dental, and professional services. Drawing from experience handling the most sophisticated business transactions, the Firm is able to provide creative and efficient solutions to the issues and problems facing its clients. Acting as an outside general counsel for many businesses, the Firm counsels clients on business formation, entity choice, business startup, corporate governance, contract negotiation and drafting, mergers, acquisitions and other corporate transactions, capital raising, joint venture and strategic alliance agreements, licensing and employment matters.
In connection with its representation of buisness owners and other individuals, C&Co also provides business succession planning often including estate planning. In the firm's estate planning practice, clients are often advised regarding preparation of wills, trusts, charitable and planned giving instruments, powers of attorney and other estate planning documents.
The Firm assists and counsels real estate developers and other businesses in all phases of commercial real estate transactions, including leasing and financing arrangements. The Firm works extensively in the area of real estate tax, including challenging real estate valuations before county Boards of Revision and the Ohio Board of Tax Appeals. Focusing on reducing risk and protecting the rights of the its clients, the Firm regularly provides advice on easements, rights-of-way, encroachments, environmental matters, oil and gas leases, and other real estate matters. C&CO represents a number of real estate developers and businesses in the negotiation and drafting of agreements with lending institutions for real estate development. C&CO handles zoning regulation and variance matters, subdivision and condominium development matters.
The Firm has represented a number of professional athletes, including players from Major League Baseball, the National Football League, PGA Tour and other PGA professionals. We handle all the issues affecting athletes during their playing career, including sponsorship, marketing and endorsement contacts, appearance agreements, agent agreements, charitable foundations and salary negotiations and arbitration. In addition, the Firm routinely advises professional athletes on business matters and other professional matters after their playing careers are complete. C&CO has significant experience with media law and counsels athletes regarding media relations, public appearances, libel/slander and other issues faced by those whose private life may be invaded or made public.
Having lived through the experience of draft day, both as a collegiate athlete and later as an advisor to athletes, Ben Cooke has significant experience acting as an advisor to amateur high school and collegiate athletes prior to turning professional.
The Firm works with individuals, both business owners and other private individuals, to help them pass their property to their families both during lifetime and upon death. This Firm’s estate planning practice spans from the most basis preparation of wills, property affidavits and other estate planning documents to the most complicated trust preparation and administration. This personal planning takes into account estate and income tax issues, closely-held businesses, other tax issues, and planning for other family needs and other heirs.
In the Firm’s bankruptcy practice, C&Co represents debtors and creditors in all aspects of business restructurings and bankruptcies. The Firm represents creditors, secured and unsecured, and suppliers in various adversarial proceedings in Chapter 11 and Chapter 7 bankruptcy cases, including preferential transfers, fraudulent transfers, equitable subordination, and officer and director liability. C&CO also represents buyers in sales and purchases of assets from the bankruptcy estate. C&CO advises its business clients, both creditors and debtors, on business workout issues that arise prior to bankruptcy filing.
